Terms of Service

Welcome to VyapaarSathi AI. These Terms of Service ("Terms") govern your access to and use of the VyapaarSathi AI website, platforms, setup support services, and automated WhatsApp assistant workflows (collectively, the "Services").

By registering for our early access program, paying for a subscription, or using the Services in any capacity, you agree to be bound by these Terms. If you are entering into these terms on behalf of a business entity, you warrant that you have the authority to bind that entity to these conditions.

1. Account Registration and Assistant Setup

To use our automated WhatsApp sales assistant, you must register an account and share accurate business facts (such as prices, catalog details, timetables, and rules). You are responsible for keeping your login credentials secure and for all actions that occur under your account.

Our engineering support team helps you configure your AI assistant based on the files you upload. You warrant that all FAQs, catalogs, prices, and location descriptions you submit are true, accurate, and do not infringe on any third-party copyrights or licenses.

2. Permitted Use & Spam Restrictions

We are built for customer support, inbound lead capture, and appointment management. We strictly prohibit utilizing our Services for:

  • Cold bulk messaging or sending unsolicited promotional campaigns to users who have not opted-in.
  • Spamming, harassment, or transmitting illegal, fraudulent, pornographic, or hate speech material.
  • Misrepresenting your business identity or attempting to impersonate other brands or public figures.
  • Any activity that violates Meta's developer policies, WhatsApp Business platform rules, or Indian cyber law.

Violation of these restrictions will result in immediate termination of your service, with no refund of subscription fees.

3. Subscription, Payments, and Meta Charges

Our plans (Starter, Growth, Pro) are billed monthly. You agree to pay all fees associated with your chosen plan in a timely manner. We use secure third-party billing networks.

Important Note on Messaging Charges: Your subscription plan covers our AI software processing capabilities. It does NOT include WhatsApp/Meta conversation charges. Any Meta/WhatsApp Cloud API messaging charges arising from interactions on your business number are billed separately at actual costs, depending on your API integration. We will guide you through connecting your direct billing account with Meta during the setup.

4. Cancellation and Suspension

You can cancel your monthly subscription at any time prior to your next renewal date. Upon cancellation, your assistant will remain active until the end of the paid billing period. We reserve the right to suspend or terminate accounts that fail to settle invoices, violate acceptable use guidelines, or generate excessive customer complaints leading to WhatsApp business number flags.

5. Limitation of Liability

VyapaarSathi AI is provided "as is" and "as available". Since our assistants use advanced language modeling to respond to customer inquiries, the AI may occasionally make typographical errors, misunderstand customer context, or present outdated details if catalogs are not updated. You agree that the business owner is responsible for periodically auditing chat transcripts and updating business details. VyapaarSathi AI shall not be liable for any indirect, incidental, special, or consequential damages resulting from assistant responses or temporary platform downtime.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Raipur, Chhattisgarh, India.
